- TERMS & CONDITIONS (MASTER SERVICE AGREEMENT)
VCP Phones – Terms & Conditions
Effective Date: 1/2/2026
These Terms & Conditions (“Agreement”) govern the use of services provided by VCP PHONES LLC (“VCP Phones”, “Company”, “we”, “our”, or “us”) to the customer (“Customer”, “you”, or “your”).
By using our services, you agree to be bound by this Agreement.
- Services Provided
VCP Phones provides telecommunications and related services including but not limited to:
- Hosted PBX services
- VoIP services
- SIP Trunking
- Toll-free and DID numbers
- Cloud communications services
- Hardware and handset provisioning
Services may be modified, updated, suspended, or discontinued at any time.
- Customer Responsibilities
Customer agrees to:
- Provide accurate account information
- Maintain the security of all devices and credentials
- Use services lawfully and in accordance with this Agreement
- Pay all charges on time
- Ensure internet connectivity required for VoIP services
- Maintain appropriate network and firewall configurations
Customer is solely responsible for securing:
- SIP credentials
- PBX systems
- IP phones
- Network infrastructure
- User passwords
- Billing & Payment
3.1 Billing
Hosted PBX and related VoIP services are billed monthly unless otherwise agreed in writing.
3.2 Payment Terms
Invoices are due within [14] days of issue.
Late payments may result in:
- Service suspension
- Service termination
- Late fees
- Collection actions
3.3 Taxes & Regulatory Fees
Customer is responsible for all applicable:
- Taxes
- Regulatory recovery fees
- Telecommunications surcharges
- Government-imposed fees
- Service Availability
VCP Phones does not guarantee uninterrupted or error-free service. Service availability may be affected by:
- Internet outages
- Power failures
- Carrier failures
- Network congestion
- Third-party provider outages
- Emergency events
- Emergency Services (911)
VoIP services may differ from traditional landline 911 services.
Customer acknowledges:
- 911 functionality may not operate during internet or power outages • Location information may not automatically update
- Service interruptions may impact emergency calling
- Customer must provide accurate service location information
Customer agrees to review and comply with all E911 disclosures provided by VCP Phones.
- Fraud Prevention & Unauthorized Usage
Customer is responsible for all usage associated with the account, including unauthorized usage.
Customer must immediately notify VCP Phones of:
- Suspected fraud
- Credential compromise
- Unauthorized access
- Toll fraud incidents
VCP Phones is not liable for fraudulent usage occurring through compromised systems or credentials.
- Acceptable Use
Customer agrees not to:
- Use services for illegal purposes
- Conduct robocalling or spam campaigns
- Transmit fraudulent traffic
- Engage in caller ID spoofing
- Conduct SIP scanning or attacks
- Violate FCC or TCPA regulations
Violation may result in immediate suspension or termination.
- Number Porting
Porting timelines are estimates only and are dependent on the releasing carrier, underlying carriers, and third-party porting partners.
Customer acknowledges and agrees that:
- Disconnected or inactive numbers generally cannot be ported
- Numbers must remain active with the current provider during the porting process • Incorrect account information may result in delays or rejection
- Temporary service interruption may occur during cutover or port activation • Service downtime may occur while routing updates propagate between carriers • Account numbers, PIN numbers, passwords, billing telephone numbers (BTN),
service addresses, and authorized contact information may be required to complete ports
- Wireless ports may require additional verification steps
- Partial ports may impact remaining services with the losing carrier • Existing contracts or termination fees with current carriers remain Customer responsibility
- Port requests may be rejected by the losing carrier for mismatched information or unauthorized requests
- Port completion dates are estimates only and may change without notice VCP Phones is not responsible for:
- Delays caused by losing carriers
- Carrier-side outages during porting
- Rejected port requests
- Temporary service interruptions during cutover
- Downtime caused by carrier routing updates
- Loss of numbers caused by inaccurate information submitted by Customer • Charges imposed by existing carriers
- Loss of associated services tied to the ported numbers
- Limitation of Liability
To the maximum extent permitted by law, VCP Phones shall not be liable for: • Indirect damages
- Lost profits
- Lost business opportunities
- Data loss
- Business interruption
- Service outages
- Emergency call failures
Total liability shall not exceed the amount paid by Customer for services during the previous thirty (30) days.
- Suspension & Termination
VCP Phones may suspend or terminate services for:
- Non-payment
- Fraudulent activity
- Violation of this Agreement
- Abuse of services
- Regulatory compliance requirements
Customer may terminate services with written notice subject to applicable minimum terms.
- Governing Law
This Agreement shall be governed by the laws of the State of TEXAS, United States.
- Changes to Agreement
VCP Phones may update these Terms & Conditions at any time.
Continued use of services constitutes acceptance of updated terms.

VCP Phones – Acceptable Use Policy

This Acceptable Use Policy governs use of services provided by VCP Phones.
- Prohibited Activities
Customers may not use services to:
- Violate any laws or regulations
- Conduct fraudulent activities
- Engage in robocalling
- Send spam SMS or voice traffic
- Spoof caller ID unlawfully
- Conduct phishing or scam campaigns
- Harass or threaten individuals
- Generate artificial traffic
- Conduct SIP scanning or attacks
- Interfere with network operations
- Telecom Compliance
Customers agree to comply with:
- FCC regulations
- TCPA requirements
- STIR/SHAKEN requirements
- Anti-spam laws
- All applicable telecommunications laws
- Security Obligations
Customers must:
- Secure SIP credentials
- Use strong passwords
- Maintain firewall protections
- Monitor account activity
- Report suspicious activity immediately
- Network Abuse
The following activities are prohibited:
- Excessive call attempts
- SIP registration attacks
- Denial-of-service attacks
- High-volume traffic abuse
- Auto-dialing without consent
- Unlawful call recording
- Enforcement
VCP Phones may:
- Suspend services
- Block traffic
- Limit usage
- Terminate accounts
- Report violations to authorities
Violations may result in immediate action without notice.
- Cooperation with Authorities
VCP Phones may cooperate with law enforcement and regulatory authorities regarding suspected unlawful activities.

VCP Phones – E911 Emergency Calling Disclosure

IMPORTANT: VoIP emergency calling services may operate differently from traditional telephone services.
- Service Limitations
E911 services may not function properly during:
- Internet outages
- Power outages
- Network disruptions
- Service suspensions
- Equipment failures
- Location Information
Customer must maintain accurate service address information.
Incorrect address information may result in emergency responders being dispatched to the wrong location.
- Relocation of Equipment
If Customer relocates equipment without updating service address information, E911 services may not function correctly.
Customer must notify VCP Phones immediately of any address changes.
- Power Dependency
VoIP services require:
- Electrical power
- Active internet connection
- Functioning customer equipment
Unlike traditional landlines, VoIP services may not function during power failures.
- Testing Restrictions
Customer should not place live 911 test calls unless coordinated with local emergency authorities.
- Customer Acknowledgment
By using VCP Phones services, Customer acknowledges understanding of these E911 limitations.

I authorize VCP PHONES LLC to act on my behalf to transfer the telephone numbers listed above from my current provider to VCP Phones.
I understand and acknowledge:
- Porting may cause temporary service interruption during cutover • Services may be temporarily unavailable while carrier routing updates propagate • Disconnected or inactive numbers generally cannot be ported
- Numbers must remain active with the current provider until the port is completed • Incorrect information may delay or reject port requests
- Existing services with current carrier may remain billable until canceled • Porting timelines are estimates only
- Account numbers, PIN numbers, passwords, BTN information, and service addresses may be required
- Wireless ports may require additional verification
- Partial ports may impact remaining services with the current provider • Port requests may be rejected by the current carrier for mismatched or unauthorized information
- VCP Phones is not responsible for delays caused by third-party carriers or porting providers

Customer must provide:
- Reliable internet connection
- Compatible devices
- Electrical power
- Suitable network configuration
Important Limitations
- Service depends on internet connectivity
- Power outages may impact service
- E911 services may have limitations
- Call quality may be affected by network performance

SIP Trunking – Critical Information Summary
Service Description
SIP Trunking enables business phone systems to make and receive calls over internet based voice connections.
Requirements
Customer is responsible for:
- PBX compatibility
- Firewall configuration
- Internet connectivity
- SIP security
- Power availability
Important Limitations
- Internet outages may impact service
- Incorrect PBX configuration may affect functionality
- Emergency services may have limitations
- Customer security failures may expose systems to toll fraud
Security Recommendations
Customers should:
- Use strong SIP passwords
- Restrict international dialing if unnecessary
- Implement firewall protections
- Monitor call activity regularly
- HARDWARE WARRANTY POLICY
VCP PHONES LLC – Hardware Warranty Policy
Hardware supplied by VCP Phones may include manufacturer warranties. Unless otherwise stated:
- Warranty coverage is limited to manufacturer defects
- Physical damage is not covered
- Water damage is not covered
- Unauthorized modifications void warranty
Customers may be required to:
- Return faulty equipment
- Provide troubleshooting information
- Cover shipping costs where applicable
Refurbished or replacement equipment may be provided.
- REFUND & CANCELLATION POLICY
VCP PHONES LLC – Refund & Cancellation Policy
Monthly Services
Monthly recurring services are generally non-refundable once billed.
Cancellations
Customers must submit cancellation requests in writing.
A minimum thirty (30) day notice period is required for cancellation of services.
Services will remain billable during the notice period and until cancellation is fully processed.
If Customer is under a contract agreement that includes financed or bundled hardware, any remaining handset or equipment balance becomes immediately due upon cancellation.
Example:
If a handset valued at $400 is provided under a 24-month agreement and the service is canceled after 12 months, the remaining unpaid handset balance of $200 per handset will become payable immediately.
Early cancellation does not waive any outstanding equipment, service, or contractual obligations.
Port-Out Requests
Porting numbers away from VCP Phones does not automatically cancel services. Customers remain responsible for cancelling requests.
Hardware Returns
Returned hardware may be subject to:
- Restocking fees
- Return authorization requirements
- Inspection before refund approval
- FRAUD PREVENTION POLICY
VCP PHONES LLC – Fraud Prevention Policy
VCP Phones actively monitors for:
- Toll fraud
- SIP attacks
- Unauthorized registrations
- International fraud
- Spam traffic
- Robocalling
Customer Responsibilities
Customers must:
- Use strong passwords
- Secure PBX systems
- Monitor call logs
- Restrict unnecessary dialing permissions • Report suspicious activity immediately
Service Restrictions
VCP Phones may:
- Restrict international dialing
- Block suspicious traffic
- Suspend compromised accounts • Require credential resets

Limitation
Despite recovery procedures, uninterrupted service cannot be guaranteed. I’ve updated the Cancellation Policy to include:
- Mandatory 30-day cancellation notice period
- Continued billing during notice period
